THE DAIRY FARMERS OF ONTARIO TORONTO RAPTORS® TRAIN LIKE A PRO CONTEST (the "Contest") OFFICIAL RULES AND REGULATIONS



1. CONTEST PERIOD:

The Contest begins on February 14, 2020 at 12:00:01 a.m. Eastern Time ("ET") and ends on May 29, 2020, at 11:59:59 p.m. ET (the "Contest Period"). The sole determinant of the time for the purposes of a valid entry in this Contest will be the Sponsor’s official clock.



2. ELIGIBILITY:

Contest is open to residents of Ontario who are at least thirteen (13) years of age at the time of entry; excluding employees, officers, directors, representatives or agents, their immediate family members, and those with whom such persons are domiciled, whether related or not, of the Dairy Farmers of Ontario (the "Sponsor"), The Marco Corporation, the Toronto Raptors, the National Basketball Association ("NBA"), its member clubs, Maple Leaf Sports and Entertainment ( "MLSE" or the "Prize Provider" ), any of their respective parent companies, subsidiaries, affiliates, prize suppliers, advertising/promotion agencies and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Contest (collectively, the "Contest Parties"). Any person who meets the foregoing eligibility requirements (as determined by the Sponsor at its sole and absolute discretion) may be referred to as an "Eligible Entrant".



An Eligible Entrant under the age of majority in Ontario (a "Minor") must obtain the consent of his or her parent or legal guardian to enter and participate in this Contest. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity, eligibility and/or parental or legal guardian consent (in a form acceptable to the Sponsor - including, without limitation, government issued photo identification showing the age of an Eligible Entrant) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification or forfeiture of any prize awarded in connection with this Contest. Any Prize (defined below) won by a Minor must be accepted by their parent or legal guardian.



3. HOW TO ENTER:

NO PURCHASE NECESSARY.

There are two (2) ways to enter the Contest, respectively as follows:



WEBSITE ENTRIES:To be eligible to receive a Website Entry into the Contest, you must visit milkup.ca (the "Website") and follow the on-screen instructions to fully complete the official Contest Entry Form (the "Entry Form"), which requires you to: (a) enter your first name, last name, valid email address, telephone number, address, city, and postal code; (b) confirm that you are over the age of majority or, if under the age of majority, that you have the permission of a parent or legal guardian to enter the Contest; and (c) indicate that you (and your parent/legal guardian on your behalf if you are a Minor) have read, accept and agree to be legally bound by the terms and conditions of these Official Contest Rules (the "Rules"). When you have fully completed the Entry Form and you have agreed to the Rules, click the "Enter" button to submit your entry ("Website Entry"). You will also have the option to consent to receive news, offers and information from the Sponsor. Any such consent is not required to enter the Contest and will not increase your chances of winning.



EVENT ENTRIES: To be eligible to receive an Event Entry into the Contest, you may also attend an event where the Sponsor has an UPstacle course set up, and take part in the Sponsor’s UPstacle challenge ("Challenge"). Upon entering into the Challenge, you will be invited by a brand ambassador ("motivator") to enter electronically into a tablet, your first name, last name and valid email address to receive your Challenge results by email. Once you have entered your information, you will be offered the opportunity to click to enter the Contest and to confirm that you (and your parent/legal guardian on your behalf if you are a Minor) have read, accept and agree to be legally bound by the terms and conditions of the Rules. When you have provided your information and you have agreed to the Rules, click the “Enter” button to submit your entry ("Event Entry"). You will also have the option to consent to receive news, offers and information from the Sponsor. Any such consent is not required to enter the Contest and will not increase your chances of winning.



Website Entries and Event Entries are collectively "Entries" and each an "Entry".



Limits of Entries



There is a limit of one (1) Entry per Eligible Entrant during the Contest Period regardless of Entry method. Under no circumstances will an Eligible Entrant be permitted to obtain more than one (1) Entry during the Contest Period. For greater certainty and the avoidance of any doubt, you can only use one email address to enter and participate in the Contest. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has used or attempted to use multiple names, identities, email addresses, mailing addresses, and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest, that person may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. The Contest Parties and each of their respective officers, directors, agents, employees, representatives, successors and assigns (collectively, the "Released Parties") shall not be responsible for late, lost, misdirected, delayed, illegible incomplete, damaged, irregular, forged, mechanically or electronically reproduced or incompatible Entries all of which will be considered void.



Any Entry that does not comply the all of requirements as provided in these Rules (as determined by Sponsor in its sole and absolute discretion) will be void and not be eligible for entry in this Contest.

By entering the Contest, each Eligible Entrant (and his/her parent/legal guardian on his/her behalf if the Eligible Entrant is a Minor) agrees to be legally bound by the terms and conditions of these Rules.

Standard data rates may apply to participants who participate in the Contest via a wireless mobile device (including, without limitation, Eligible Entrants who submit an Entry via a wireless mobile device). Wireless service providers may charge for data charges if accessing the Website from a mobile device. The Sponsor is not responsible for any such data charges incurred by the Entrant when attempting to participate in this Contest. It is the sole responsibility of any Eligible Entrant to contact his or her wireless service provider for pricing, service plan information and rates before mobile device participation.

All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity, eligibility or compliance with these Rules (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Sponsor’s official clock.



4. THE PRIZES:

Grand Prizes: There are ten (10) Grand Prizes available to be won, each consisting of a one (1) day Train-Like-a-Pro Experience at Scotiabank Arena in Toronto with The Toronto Raptors training staff for each Grand Prize winner and one (1) guest (“Guest”). Train-Like-a-Pro Experience will take place between June 1, 2020 and July 31, 2020. The date upon which the Final Grand Prize date will take place will be determined by the Sponsor and/or Prize Provider in its/their sole and absolute discretion. Each Grand Prize includes:

• a series of athletic focused fundamental skill building sessions. Sessions will combine both on and off the court activities with elite level trainers and coaches;
•one (1) behind closed doors tour of the Raptors locker room, training, and athletic therapy facilities;
•one train-like-a-pro gift bag;
•food & beverages provided throughout experience for each winner and their guest (including lunch) (collectively, the "Grand Prize(s)").

Each Grand Prize package has an approximate retail value ("ARV") of five thousand dollars ($5,000 CAD).

The Grand Prize experience must take place on the date to be specified by the Sponsor and/or Prize Provider in its/their sole and absolute discretion. All other costs or expenses not specifically mentioned herein are solely the Grand Prize winner’s responsibility, including but not limited to, travel to and from the event, accommodations, meals outside of the Grand Prize event, and entertainment.



Without limiting the generality of the foregoing, the following general conditions apply to each Grand Prize: (i) Grand Prize must be accepted as awarded and is not transferable, assignable and/or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion); (ii) no substitutions are permitted except at Sponsor’s and/or Prize Provider’s option; (iii) the Grand Prize event must occur on the date specified by the Sponsor (otherwise the Grand Prize may, in the sole and absolute discretion of the Sponsor and/or Prize Provider, be forfeited in its entirety and, if forfeited, no other prize will be substituted in its place); (iv) travel to and from the Grand Prize event is the responsibility of the Grand Prize winner, or his or her parent or legal guardian, in the case of a Minor; (v) the cost or expense of anything not specifically and expressly stated above as included in the Grand Prize is the sole and absolute responsibility of the Prize winner and/or his/her Guest, including, without limitation: meals and drinks not included in or provided with the Grand Prize event; gratuities; entertainment; and transportation for Grand Prize winner and his/her Guest to or from the Grand Prize event; (vi) if the Grand Prize winner and/or his/her Guest do not participate in or utilize any part or parts of the Grand Prize, then any such part or parts not utilized may, in the sole and absolute discretion of the Sponsor and/or Prize Provider, be forfeited in their entirety and, if forfeited, no other prize will be substituted in its place; (vii) Sponsor and/or Prize Provider reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Grand Prize or any component thereof; and (b) substitute the Grand Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value, including without limitation, but solely at the Sponsor’s sole discretion, a cash award; and (viii) by accepting the Grand Prize, the Grand Prize winner (or in the case of a Minor, his or her parent or legal guardian) and his or her guest agrees to waive any claim, demand or other legal or other recourse against the Released Parties if the Grand Prize or any part thereof does not prove satisfactory, either in whole or in part and otherwise in relation to or arising out of his or her participation in the Grand Prize.

Guest Requirements: A Grand Prize winner’s Guests must: (a) either be of the legal age of majority in his/her jurisdiction of residence or have the express written consent (in form and substance satisfactory to the Sponsor and/or Prize Provider, in its sole and absolute discretion) to accompany the Grand Prize winner on the Grand Prize event; and, (b) sign (and have his/her parent/legal guardian if he/she is under the legal age of majority in his/her jurisdiction of residence) and return the Sponsor’s release (by the date indicated on the release form) indicating that he/she waives any claim, demand or other legal or other recourse against the Released Parties relating to or arising out of his/her participation in the Grand Prize.

The Released Parties are not responsible for any delay, postponement, suspension, rescheduling or cancellation, for any reason, of any aspect of a Grand Prize. Neither a Grand Prize winner nor his/her Guest nor any other person shall be entitled to any compensation or be compensated in the event of such delay, cancellation or other event contemplated herein.

The Released Parties make no representations or offer any warranty, express or implied, as to the quality or fitness of any Grand Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each Grand Prize winner (and his/her parent/legal guardian on his/her behalf if the Grand Prize winner is a Minor) and his/her Guest understands and acknowledges that he or she shall not seek reimbursement or pursue any legal or equitable remedy against the Sponsor and/or Prize Provider and/or any of the other Released Parties if the Grand Prize or any part thereof is unfit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting the Grand Prize, each Grand Prize winner and his or her Guest (or in the case of a Minor, the parent or legal guardian of such person) agrees to waive any and all claims, demand or other legal or other recourse against the Sponsor and/or Prize Provider and all of the other Released Parties if his/her Grand Prize or a component thereof does not prove satisfactory, either in whole or in part and otherwise in relation to or arising out of his or her participation in the Grand Prize.

Secondary Prizes: There are two (2) Secondary Prizes available to be won, each consisting of one (1) pair of tickets to a Toronto Raptors game during the 2020 – 2021 season, each with an ARV of between two hundred dollars ($200 CDN) and five hundred dollars ($500 CAD), depending on game and seat availability ("Secondary Prize(s)"). Game and seat selection are at the sole and absolute discretion of the Sponsor and/or Prize Provider.

Without limiting the generality of the foregoing, the following general conditions apply to all Secondary Prizes: (i) each Secondary Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (no substitutions are permitted except at Sponsor’s and/or Prize Provider’s option); (ii) all costs or expenses related to a Secondary Prize not expressly stated above as being included with the Secondary Prize are the sole responsibility of the Second Prize winner and/or his/her and guest(s), including without limitation, any transportation to and from a game, accommodations (if required), meals, beverages, gratuities, other entertainment, merchandise, souvenirs, local and long distance telephone calls, travel and cancellation insurance, health insurance; (iii) if a Second Prize winner does not utilize any part or parts of a Secondary Prize, then any such part or parts) not utilized will be forfeited in their entirety and no other prize will be substituted in its place; (iv) the Sponsor and/or Prize Provider reserve the right at any time to substitute any Secondary Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including without limitation, but solely at the Sponsor’s sole discretion, a cash award; and (v) by accepting a Secondary Prize, each Second Prize winner (and his/her parent/legal guardian on his/her behalf if the Second Prize winner is a Minor) agrees to waive all recourse against the Released Parties if the Secondary Prize or a component thereof does not prove satisfactory, either in whole or in part and otherwise in relation to or arising out of his or her participation in the Secondary Prize. The Released Parties shall not be held responsible for, and accept no liability in relation to, any costs, loss or other damages incurred during or arising out of or as a result of the game – including, but not limited to, where the game is cancelled, delayed, postponed, rescheduled or otherwise affected in any way whatsoever. The Sponsor, Prize Provider and Released Parties reserve the right to revoke full or partial Secondary Prize from any Second Prize winner or his or her guest who they and/or any venue personnel determine, acting reasonably in their sole discretion, may be intoxicated, pose a safety risk, has violated any venue policy or law, and/or may bring a Released Party or venue operator into disrepute. Resale of prize tickets is strictly prohibited.


Third Prizes: Third Prizes: There are ten (10) Third Prizes available to be won, each consisting of one (1) signed Fred VanVleet Toronto Raptors jersey, each with an ARV of approximately One Hundred Fifty Dollars ($150 CAD) (each a “Third Prize(s)”). Without limiting the generality of the foregoing, the following general conditions apply to each Third Prize: (i) Third Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor and/or Prize Provider in its sole and absolute discretion); (ii) no substitutions are permitted except at Sponsor’s and/or Prize Provider’s option; (iii) Sponsor and/or Prize Provider’s reserves the right at any time to substitute a Third Prize for any reason with a prize or prize component(s) of equal or greater retail value, including without limitation, but solely at the Sponsor’s sole discretion, a cash award; and (iv) all characteristics and features of the Third Prizes, except as otherwise explicitly noted above, will be determined by the Sponsor and/or Prize Provider’s in its/their sole and absolute discretion. Unless prohibited by law, none of the Released Parties make any representation or offers any warranty, express or implied, as to the quality or fitness of any Third Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each Third Prize winner (and his/her parent/legal guardian on his/her behalf if the Third Prize winner is a Minor) understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties should his/her Third Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting a Third Prize, each Third Prize winner agrees to waive any claim, demand or any legal or other all recourse against the Sponsor, Prize Provider or any other Released Parties if his/her Prize or a component thereof does not prove satisfactory, either in whole or in part.

Grand Prizes, Secondary Prizes and Third Prizes are collectively referred to as “Prizes,” and each a “Prize.” The Sponsor’s and/or Prize Provider’s rulings are final and binding without appeal in all matters related to this Contest and the awarding of Prizes.


5. WINNER SELECTION ("Random Draw"):

On June 1, 2020 (the “Draw Date”) in Brantford, ON at 10:00 a.m. ET, thirty (30) Eligible Entrants will be selected by Random Draw from among all Eligible Entries submitted and received during the Contest Period in accordance with these Rules. The first ten (10) selected Eligible Entrants drawn will each be eligible to receive a Grand Prize. The next two (2) selected Eligible Entrants drawn will each be eligible to receive a Secondary Prizes and the next ten (10) selected Eligible Entrants drawn will each be eligible to receive a Third Prize. The odds of winning a Prize depend on the number of Eligible Entries submitted and received during the Contest Period.


6. WINNER NOTIFICATION AND CONFIRMATION:

The Sponsor or its designated representative will make a minimum of three (3) attempts to contact each potential Prize winner by telephone or email as determined by the Sponsor at its sole and absolute discretion using the information provided when the corresponding selected Entry Form was submitted, within five (5) business days of Draw Date. If a potential Prize winner cannot be contacted within five (5) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she, in the sole and absolute discretion of the Sponsor, may be disqualified and, if disqualified, will forfeit all rights to the applicable Prize. The Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select another Eligible Entrant from among the remaining applicable eligible Entries (in which case the above noted winner selection process will apply). The Sponsor will not be responsible for any failed attempt to contact any selected Entrant.

No telephone contact or other correspondence in association with the Contest will be entered into except with each selected Entrant.

Before being declared as a prize winner, each potential Prize winner will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid, and (b) sign (and/or, as applicable, have his/her parent/legal guardian sign if he/she is a Minor) and return within three (3) business days of notification, the Sponsor’s declaration and release form, which (among other things) will (i) confirm such person’s compliance with these Rules; (ii) acknowledge acceptance of the applicable Prize, as awarded; (iii) release the Released Parties from any and all liability in connection with this Contest his/her participation in the Contest, and/or the awarding and use or misuse of any applicable Prize or any portion thereof; and, (iv) confirm such person’s consent to the publication, reproduction and/or other use of his/her name, city and province of residence, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet in perpetuity.

If a potential Prize winner: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot or is unwilling to accept the applicable Prize as awarded for any reason; and/or (d) is determined to be in violation of these Rules, all as determined by the Sponsor in its sole and absolute discretion, such potential Prize winner, in the sole and absolute discretion of the Sponsor, may be disqualified and, if disqualified, he or she will forfeit all rights to the applicable Prize. The Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select another Eligible Entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected potential winner).



7. GENERAL CONDITIONS:

All Entry materials are and shall remain the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries, and/or entrants.

By participating in this Contest, you (and your parent/legal guardian on your behalf if you are a Minor) are agreeing to be legally bound by the terms and conditions of these Rules. ANYONE DETERMINED TO BE IN VIOLATION OF THESE RULES FOR ANY REASON MAY BE SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR.

The Released Parties will not be liable for: (i) any failure of the Website during the Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, or other material to be received, captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the internet or at any website; or lost or delayed mail; (iv) any injury or damage to an Eligible Entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (v) any combination of the above.

The Released Parties shall not be responsible for lost, incomplete, illegible, late, misdirected, stolen or mutilated entries; any error, omission, interruption, defect or delay in transmission or communication, technical or mechanical malfunction, interrupted or unavailable cable or satellite systems, errors in these Rules, in any Contest-related advertisements or other relevant promotional materials, failures of electronic equipment, computer hardware or software, or inaccurate entry information, whether caused by equipment, programming used in this Contest, human processing error, or otherwise.

The Sponsor reserves the right to disqualify any entry, withdraw, amend or suspend this Contest or amend these Rules in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper administration, conduct or fairness of this Contest as contemplated by these Rules. Any attempt to damage any website or to undermine the legitimate operation of this Contest in any way is a violation of criminal and civil laws and, should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. In case of cancellation for any given reason, the Prizes may be forfeited Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering and participating in this Contest, each Eligible Entrant (or if a Minor, his or her parent or legal guardian) expressly consents to the disclosure of their personal information to the Sponsor and the Prize Provider and their respective agents and representatives, as necessary, for the purpose of delivery of Prizes, and otherwise to carry out this Contest. By entering this Contest further, each Entrant (and if a minor, his or her parent or legal guardian) consents to the storing, sharing and use of the personal information submitted in connection with this Contest in his or her Entry for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: https://new.milk.org/Privacy-Policy).


The Sponsor reserves the right, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance by any entrant with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

By entering the Contest, each Eligible Entrant (and his/her parent/legal guardian on his/her behalf if the Eligible Entrant is a Minor) acknowledges and agrees that MLSE’s sole and exclusive role in the Contest is that of Prize Supplier and that MLSE is in no way responsible for the administration of the Contest or the selection of winners and that all such responsibility rests with the Sponsor and its agents or representatives.
